Establishing Successful Provider Entities

Entrepreneurial GPs have set up a variety of entities to provide additional services to their local patients. This has the advantage of providing an additional income stream, increasing utilisation of the surgery, and deterring other providers from setting up competing services.

It is important that these entities are set up in a way which secures eligibility for the NHS pension whenever possible, complies with the rules regarding sale of goodwill, is tax efficient, and provides for an appropriate level of governance.

DR Solicitors helps clients to establish the optimum provider entity to suit a wide variety of stakeholders, as well as advising on entering into provider NHS contracts, documenting contracts of service and employment, establishing governance procedures and so on. Our recent work includes:

  • Limited Company shareholder agreements
  • Limited Liability Partnerships (LLPs)
  • Consortium agreements (for PBC)
  • Social Enterprise vehicles such as Community Interest Companies
  • Practice Based Commissioning (PBC) consortia
  • Joint Ventures (JVs) between practices and private sector companies
  • Expense-sharing arrangements
